Terms of Service

1. Acceptance of Terms
By accessing or using the Linkorium service ("Service"), you agree to be bound by these Terms of Service, our Privacy Policy, and all applicable laws and regulations. If you do not agree, do not use the Service.

2. Changes to Terms
Linkorium may modify these Terms at any time. We will post the revised Terms with an updated "Last Updated" date. Your continued use of the Service after any changes constitutes acceptance of the updated Terms. For material changes, we may provide notice via email or in-app notification.

3. The Service
Linkorium provides a SaaS platform for saving, organizing, and interacting with bookmarks, files, and related data. We reserve the right to modify, suspend, or discontinue features or the Service at any time, without notice or liability.

You acknowledge and agree that:

Linkorium does not guarantee uninterrupted or error-free operation.
From time to time, the Service may be unavailable due to maintenance, outages, third-party interruptions, or other factors beyond our control.
Linkorium is not responsible for any loss of data, content, or functionality resulting from service interruptions, feature changes, system failures, or integration issues.

4. User Content & Intellectual Property

4.1 Ownership; Responsibility for Compliance.

You retain all ownership rights in, and are solely responsible for, any content, information, data, text, graphics, photos, videos, files, or other materials ("Your Content") that you upload, post, transmit, or otherwise make available through the Service. You represent and warrant that Your Content:

Complies with all applicable local, national, and international laws and regulations;
Does not infringe or misappropriate any third party's intellectual property or proprietary rights;
Does not violate any contractual or confidentiality obligations you may have.

You further acknowledge that you are solely responsible for creating backups of Your Content, and that Linkorium is not responsible for the loss, deletion, or corruption of Your Content.

4.2 Indemnification.

You agree to defend, indemnify, and hold harmless Linkorium, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

Your Content;
Your use of the Service;
Your violation of these Terms or any applicable law.

4.3 Limited License to Provide the Service.

By making Your Content available, you grant Linkorium a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, create derivative works of, publish, and display Your Content solely for the purpose of operating, providing, and improving the Service.

5. Prohibited Conduct
You agree not to use the Service to upload, distribute, or interact with any content that is illegal, harmful, abusive, or otherwise objectionable. Linkorium may remove or disable access to any content that violates these Terms. You acknowledge that Linkorium has no obligation to monitor user activity or content, but we reserve the right to do so at our discretion.

6. Payment, Subscriptions, and Non-Payment
If you purchase a paid plan or subscription, you agree to provide accurate billing information and authorize Linkorium (or its payment processor) to charge all applicable fees.

Subscriptions automatically renew unless canceled before the renewal date.
All fees are non-refundable, except where required by applicable law.
In the event of failed, reversed, or blocked payments, including chargebacks, Linkorium may suspend or terminate your access to the Service until full payment is received.
Unfounded or fraudulent chargebacks constitute a breach of these Terms, and you may be responsible for associated fees imposed by payment processors.

Linkorium is not liable for any loss of access, data, or functionality resulting from non-payment or account suspension.

7. Third-Party Services
The Service may integrate with third-party platforms—including, without limitation, Google Drive, cloud storage providers, authentication systems, or analytics tools. You acknowledge and agree that:

Linkorium is not responsible for the availability, accuracy, security, or performance of third-party services;
Third-party terms and privacy policies govern your use of their services;
Any interruptions, failures, rate limits, or data loss caused by third-party systems are not the responsibility of Linkorium.

8. AI-Generated Content
Some Service features may generate responses or insights using artificial intelligence or machine-learning models.

You acknowledge and agree that:

AI-generated content may be inaccurate, incomplete, or misleading;
Such content is provided for informational purposes only;
Linkorium does not guarantee the accuracy or reliability of AI outputs;
You are solely responsible for any decisions or actions taken based on AI-generated content.

Linkorium will not be liable for any damages resulting from reliance on AI-generated material.

9. Termination
We may suspend or terminate your account and access to the Service at our sole discretion, with or without notice, for any violation of these Terms or any applicable law.

Upon termination, you may lose access to Your Content and other stored information. Linkorium is not liable for the deletion, loss, or inability to recover any data following account suspension or termination.

10. Disclaimers; Limitation of Liability
The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind. To the fullest extent permitted by law, Linkorium disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law:

Linkorium will not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of data, loss of access, loss of profits, or business interruption;
Linkorium's total liability for any claim arising out of or relating to the Service will not exceed the amount paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim;
Linkorium assumes no liability for outages, data loss, third-party service failures, unauthorized access despite reasonable precautions, or user reliance on AI-generated content.

Some jurisdictions do not allow certain limitations, so these limitations may not apply to you.

11. Governing Law
These Terms and any disputes arising hereunder are governed by the laws of the State of Delaware, United States of America, without regard to conflict of law principles.

12. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms shall be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Wilmington, Delaware.

To the fullest extent permitted by law, you agree to waive any right to participate in a class action, class arbitration, or representative action.
